Product terms – Executive Interim Assessment & Benchmark Program
1. Parties and scope
These Terms and Conditions govern the purchase and use of the product “VALPEO Executive Interim Assessment & Benchmark Program” (the “Program”) offered via the website www.valpeo.com and are concluded between the purchasing party and VALPEO International NV, incorporated in Belgium, with registered office in Belgium and company number BE 0799.551.006 (“VALPEO”).
The Program is offered exclusively on a business-to-business (B2B) basis and applies only to professional Interim Executives contracting through their registered company.
The “VALPEO Executive Interim Assessment & Benchmark Program” is intended to support the assessment of Interim Executives through the People Dx Assessment for Interim Executives and to facilitate, where relevant, the matching of Interim Executives with interim executive roles proposed by VALPEO’s clients.
In addition, the Program seeks to collect remuneration-related information in order to develop aggregated remuneration benchmarks for different categories of interim executive roles, once a sufficient and representative number of participants has been reached for the relevant category.
2. Definition of an Interim Executive
For the purpose of these Terms, an “Interim Executive” is a natural person who temporarily fulfils an executive (C-level or equivalent) role within an organisation, against remuneration in the form of a daily or monthly fee, under an interim management contract concluded between the client organisation and the Interim Executive’s own company. Such contract explicitly defines the interim nature, scope, and duration of the assignment.
3. Eligibility and contracting conditions
The Program may only be purchased via the valpeo.com website by individuals who:
(a) meet the definition of Interim Executive as set out in Article 2; and
(b) contract with VALPEO through their legally registered company.
VALPEO does not sell this Program to private individuals acting in a personal capacity. By purchasing the Program, the buyer confirms that these conditions are met.
4. Program content
The program is offered through the VALPEO website in 2 possible versions: Standard and Extended.
The Standard version includes:
– Reception per email of 3 links to the 3 questionnaires
– Grant of temporary access to our VALPEO digital platform, where the executive interim candidate can provide the answers to the questionnaires
– A personal 1-hour online interview with an accredited VALPEO assessor
– Reception of the personal VALPEO assessment report based on those answers provided
– Access to a remuneration benchmark report once a representative sample has been reached (see Article 5)
The Extended version includes:
– Reception per email of 3 links to the 3 questionnaires
– Grant of temporary access to our VALPEO digital platform, where the executive interim candidate can provide the answers to the questionnaires
– A personal online interview for 2 – 3 hours with an accredited VALPEO assessor
– Reception of the personal VALPEO-assessment report based on those answers provided
– Access to a remuneration benchmark report once a representative sample has been reached (see Article 5)
5. Benchmark report condition
The remuneration benchmark report is provided only once a sufficient and representative number of Interim Executives within the relevant role category has registered for the Program.
VALPEO does not guarantee a specific timing for the delivery of the benchmark report and shall not be held liable if the representative threshold is not reached within a given period.
6. Candidate integrity and personal participation
The registered Interim Executive commits to completing the questionnaires personally, truthfully, and accurately. Nobody else shall complete the questionnaires in place of the nominally registered candidate. Third-party completion or misrepresentation of personal or professional information is strictly prohibited.
7. Data protection and GDPR
VALPEO processes personal data in accordance with applicable data protection legislation and its Privacy Policy. Personal data necessary for the delivery of the assessment product includes identification and contact details, assessment responses, and assessment results. This processing is required for the performance of the contract. Subject to the consents provided, Interim Executives may be included in VALPEO’s pool of interim executive candidates and contacted regarding relevant interim opportunities. VALPEO may also request a CV for this purpose. Where applicable and based on explicit consent, VALPEO may send information related to the interim executive community and market. 8. No guarantee of assignment
Participation in the Program does not constitute a guarantee of selection, assignment, or engagement in any interim role.
9. Fee and non-refundability
The Program involves the delivery of personalised digital services and assessment processes initiated immediately upon purchase. For this reason, all registrations are non-refundable once access to the assessment platform has been granted.
10. Intellectual property and confidentiality
All intellectual property rights relating to the Program, including but not limited to the assessment questionnaires, methodologies, report formats, assessment content, and the VALPEO digital platform (software and related systems), are the exclusive property of Valpeo Holding NV and/or its affiliated entities.
The personal assessment report provided to the Interim Executive is intended solely for the Interim Executive’s own professional use.
Except for such personal use, participants may not reproduce, distribute, disclose, sell, or otherwise make available any part of the Program, its content, or underlying methodologies to any third party without the prior written consent of VALPEO.
Any information made available through the Program that is not explicitly designated as transferable shall be treated as confidential. Any broader use or third-party disclosure requires a separate written agreement with VALPEO.
11. Governing law and jurisdiction
These Terms and Conditions are governed by Belgian law. Any dispute arising from the Program shall be subject to the exclusive jurisdiction of the competent courts of Belgium.
